Probably because MvC2 runs on NAOMI, the Dreamcast arcade board. There's no emulation for the DC or the arcade yet, so the developers have no way of capturing frames of animation from it. All of the MvC2-specific characters wouldn't be included in the game, and thus it wouldn't really be MvC2.
Other than that, the backgrounds are all in 3D, which - as far as I know - would be impossible to replicate on Shockwave.
So that's why, I think...
